ABSTRACT: Managers involved with public companies are becoming increasingly aware of the importance of having good corporate governance practices and communicating these practices to investors and potential investors. A corporate governance system can be thought of as the processes and structures used to direct a corporation's business. The Toronto Stock Exchange has established guidelines provide disclosure requirements, and suggest that a firm's board should assume responsibility for stewardship, including strategic planning, risk management and internal control. Corporate governance systems are increasingly being utilized to enhance shareholder value.
